These Terms of Service ("Terms") govern your access to and use of the EQUA website at equa.work and the EQUA AIMMS platform (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

Please read these Terms carefully. If you do not agree with these Terms, you may not access or use our Services.

1. Acceptance of Terms

By accessing our website or using our Services, you confirm that you:

  • Are at least 18 years old or have legal capacity to enter into contracts
  • Have the authority to bind your organization if using Services on its behalf
  • Agree to comply with these Terms and all applicable laws

2. Description of Services

EQUA provides EQUA AIMMS, an autonomous AI operating system for critical infrastructure maintenance and operations. Our Services include:

  • Access to the EQUA AIMMS platform (subject to separate subscription agreements)
  • Website content and resources
  • Inquiries, assessments, and consultations
  • Customer support and implementation services

3. Account Registration

To access certain features of our Services, you may need to create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Accept responsibility for all activities under your account

4. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the integrity of our Services
  • Transmit malware, viruses, or other harmful code
  • Submit automated, bulk, or fraudulent form submissions
  • Reverse engineer, decompile, or disassemble our software
  • Use the Services to compete with EQUA
  • Resell or redistribute our Services without authorization

5. Intellectual Property

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, software, and documentation, are owned by EQUA and protected by intellectual property laws.

You may not copy, modify, distribute, or create derivative works from our content without express written permission.

6. Customer Data

For customers using the EQUA AIMMS platform:

  • You retain ownership of all data you input into the platform ("Customer Data")
  • You grant us a limited license to process Customer Data to provide the Services
  • We maintain the confidentiality of Customer Data as described in our Privacy Policy
  • Data handling is governed by your subscription agreement and applicable data protection laws

7. Payment Terms

For paid Services:

  • Fees are specified in your subscription agreement or order form
  • Payment is due according to the terms in your agreement
  • We reserve the right to suspend Services for non-payment
  • All fees are exclusive of applicable taxes unless otherwise stated

8. Service Availability

We strive to maintain high availability of our Services but do not guarantee uninterrupted access. We may:

  • Perform scheduled maintenance with advance notice
  • Modify or discontinue features with reasonable notice
  • Suspend access to address security concerns

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or completely secure.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EQUA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICES.

Our total liability shall not exceed the amounts paid by you for the Services in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless EQUA, its officers, directors, employees, and agents from any claims, damages, or expenses arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any third-party rights

12. Termination

We may suspend or terminate your access to the Services at any time for violation of these Terms or for any other reason with notice. Upon termination:

  • Your right to use the Services immediately ceases
  • We may delete your account and associated data according to our retention policies
  • Provisions that should survive termination will remain in effect

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.

14. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or prominent notice on our website. Continued use of the Services after changes constitutes acceptance of the revised Terms.

15. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy and any applicable subscription agreements, constitute the entire agreement between you and EQUA. In the event of a conflict between these Terms and a signed subscription agreement, the subscription agreement controls.
  • Severability: If any provision is found unenforceable, the remaining provisions continue in effect.
  • Waiver: Failure to enforce any right does not constitute a waiver of that right.
  • Assignment: You may not assign these Terms without our consent.
